General Contractual Agreements
SEPRO operates pure "white hat" SEO services in good faith.
We require contractual agreement with clients that certain practices are avoided which would be counter productive to the managed development of rankings:
- Employment of the services of another Search Engine Optimisation (SEO) Company, or other company performing Search Engine Submission or related activities to work on the website being optimised whilst the contract is in force.
- Creating any duplicate sites to the Web Site, duplicated content, redirects, mirror pages or doorway pages whilst the contract is in force.
Where duplicated sites are in existence, we request that the client informs us before commencement of the works. - Exchanging links with link farms or undertaken any spamming techniques or email broadcasting including search engine spamming techniques, including hidden links, links to "link farms", "Free For All" link pages, and using redirect or cloaking techniques.
- Submissions by the client to Search Engines, Search Directories or other websites without the consent of SEPRO.
- The use of automated web site submission software, or automated reciprocal link programs, or the usage of back-links.
- Any other unspecified SEO or SEO related activity that may interfere with rankings or search engine status of the client website.
SEPRO reserves the right to withdraw from contract if evidence of any of the above practices are deemed to be influencing contractual rankings.
Site Amendments
- Amendments related to the Contract Web Site must either be undertaken by SEPRO, or be advised to SEPRO to avoid website content amendment conflicts, and potentially negative influences on website rankings and status.
Hosting Arrangements
- Under the contract, the Client agrees not to host on free web space or use domain forwarding whether framed or otherwise.
- If, prior to commencement of a contract, SEPRO consider that the hosting arrangements of the Contract Web Site may have a detrimental impact on achievable or reliable rankings, we may advose the client to change their hosting provider.
Guarantees
- SEPRO are able to provide a guarantee on rankings, defined and agreed with clients on a per-case basis.
Guarantees are normally provided to smaller clients who are unfamiliar with SEO contracts, and are concerned about achievement of satisfactory results. Generally speaking, we will conduct optimisation work for 6 months to achieve the agreed ranking positions. In the eventuality that agreed rankings are not achieved within 6 months, the SEPRO undertake to continue to work at no further cost to the client until the agreed rankings are realised. If after 12 months agreed rankings are still not realised, then SEPRO undertake to offer compensation to the client, which will depend on rankings actually achieved. Because of revisions of search engine policy and algorithm modification, SEPRO cannot guarantee rankings on any one specific search engine, and cannot guarantee that you will achieve number 1 spot. - Any guarantee provided by SEPRO may be voided if any of the clauses outlined in section 1 are infringed.
Third Party Fees
- LSI contracts will normally benefit from a precursory PPC campaign, which will typically run for two months to provide an objective evaluation of effective search terms. SEPRO will charge the client for actual advert expenditure, and will charge an initial set-up fee (to cover initial analysis) and a monthly management fee.
Access Credentials
- To enable SEPRO to perform SEO on the contracted Web Site, authority is required from clients to submit the contractual Web Site to search engines and selected search directories.
- SEPRO will retain the ability to change the structure and content of the Contract Web Site. Such work will be undertaken so as not alter the appearance of the Contract Web Site without the prior consent and subsequent approval of the client, or any legally sensitive texts of the Contract Web Site.
- SEPRO requires to retain username and password log-on information to enable FTP access to the Contract Web Site. Under the current Data Protection Legislation, SEPRO will maintain confidentiality of log-in and all other confidential information provided by the client. The provision of such log-in data and other sensitive information by the client will be deemed to imply an approval to retain the data in the absence of any specific approval statement in the contract.
- SEPRO will also require user name and password credentials for Google AdWords or similar PPC accounts, where the contract includes managed PPC.
- The Client must inform SEPRO of any other person or company that would have access to or be likely to request access to the Contract Web Site or require data held by SEPRO under Item 5.3 (FTP access to the contractual website).
- SEPRO will endeavour to satisfy all parties who have an interest in the contractual website content. However, the client must allow SEPRO to deliver all SEO strategies on the Contract Web Site without undue interference.
- The client is responsible for ensuring that the Contract Web Site is continually accessible by Internet users and accessible by SEPRO for SEO maintenance at all times.
Payment Terms
- All Set-up fees including hosting, site re-structuring and SEO analysis related work are payable up-front at the time of order.
- Monthly fees are payable in advance by standing order, or by credit card mandate.
- If monthly payments is overdue without prior agreement, SEPRO reserve the right to enforce charge a fee equal to 2% above the bank rate for the period in question.
- SEPRO reserve the right to suspend a campaign for persistent late payment at its discretion.
Termination of Service
- Campaigns run for a renewable 12 month period, unless otherwise stated in the Contract. Contracts cannot be cancelled. If the client no longer wishes SEPRO to conduct SEO services for the contractual website, the outstanding monthly payments will continue to become due until the contract termination date.
- Any compensation due to the client arising from failure to meet the provision of a guarantee will be agreed on a per-case basis with the client. The amount of compensation will depend on actual rankings achieved. In such a case where a demand for full refund is agreed to by SEPRO, this may necessitate the reversion of the contractual website to its original pre-optimised status.
